Prize
The prize is a Slopecycle (“Prize”) to be awarded by the sponsor, Slopecycle, LLC (“Slopecycle”)(“Sponsor”) in the Win-A-Free Slopecycle Contest (“Contest”). The suggested retail price of the Prize is US$750.00. Prizes are not transferable. Slopecycle may substitute a prize of equal or greater value at their discretion.

How To Enter
The Contest starts November 20, 2003 and ends on November 25, 2003 (the “Contest Period”). Entries may be submitted directly through the Slopecycle.com Web site or through participating affiliates. All registration information provided by entrant must be true and correct. Slopecycle is not responsible for lost, stolen, late, incomplete, invalid, mutilated, illegible or misdirected entries, which will be disqualified; for technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, hardware or software; or for any error, human, technical or otherwise. Slopecycle reserves the right in its sole discretion to disqualify any individual it finds tampering with the operation or entry process of the Contest, or acting in violation of these Official Rules or applicable law.

Eligibility
The Contest is open only to individuals with a body weight of over 100 lbs, 18 years of age or older at the time of entry, who are legal residents of the United States, Puerto Rico or the District of Columbia or Canada (excluding the Province of Quebec)(“Participant”). Employees of Slopecycle and its subsidiaries and agents, and the immediate family (defined as parents, children, siblings, spouse and grandparents) of each such employee, together with those with whom such employees are domiciled, are not eligible. By participating in the Contest, Participants warrant that they are eligible to participate under the applicable law governing procurement of prizes and awards.

Slopecycle reserves the right to disqualify any Participant if Slopecycle determines that Participant did not follow these Official Rules (“Official Rules”), or if Participant’s participation in the Contest or receipt of prize would violate applicable law. Participants may be required to submit proof of their eligibility. Void where prohibited by law

Winner Selection
The Contest winner will be selected at random on or about November 25, 2003. Failure to comply with any term or condition in these Official Rules may result in disqualification. Potential winners may waive their right to receive a prize. Slopecycle will attempt to notify potential winners by reasonable means, using the contact information provided during registration.. If for any reason a potential winner cannot be reached after reasonable attempt has been made, the prize will be awarded to an alternate winner. Winners are required by law to pay any applicable local, state and federal taxes, and any other charges including, but not limited to, duties, customs fees or other fees, on prizes. A 1099 form will be filed with the IRS of the United States.

Winners will be required to complete and return an affidavit of eligibility and a liability, which must be returned to Slopecycle’s designated address within 31 days of the initial contact. Failure to do so will result in forfeiture of the prize. Slopecycle is not responsible for late, misdirected or damaged communication of any kind including computer failure. All decisions are final.

Participating in the Contest constitutes Participant’s full and unconditional agreement to and acceptance of these Official Rules. No purchase is necessary to enter or win, and no obligation of any kind is implied. Except where prohibited by law, participation in the Contest constitutes the winner’s consent to Slopecycle s use of the winner’s name, city, state, province or county, and country, likeness, photograph, statements made by the winner about the Contest, Slopecycle and/or prize information for promotional purposes in any media without further payment or consideration. BY ENTRY IN THE CONTEST, YOU AGREE TO RELEASE AND HOLD HARMLESS SLOPECYCLE, ITS RELATED COMPANIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPANTS PARTICIPATION IN THE CONTEST, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR RECEIPT, POSSESSION, USE OR MISUSE OF ANY PRIZE. SLOPECYCLE RESERVES THE RIGHT TO CANCEL OR MODIFY THIS CONTEST FOR ITS CONVENIENCE OR IF FRAUD, TECHNICAL FAILURES OR ANY OTHER FACTOR BEYOND SLOPECYCLE’S REASONABLE CONTROL IMPAIRS THE INTEGRITY OF THE CONTEST AS DETERMINED BY SLOPECYCLE IN ITS SOLE DISCRETION. ANY DISPUTES ARISING FROM OR RELATING TO THE CONTEST OR THE SELECTION OF WINNING SUBMISSIONS WILL BE RESOLVED BY SLOPECYCLE IN ITS SOLE DISCRETION. Slopecycle is not responsible for any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from downloading any material from Slopecycle’s Web site, regardless of whether the material was prepared by Slopecycle or a third party, and regardless of whether the material is connected to Slopecycle’s Web site by a hypertext link. All federal, state, provincial and local laws and regulations apply.
